End User License Agreement
This agreement is between Wayland Foundry LLC ("WF," "we," "us") and the entity that connects a QuickBooks company to the App ("you"). By connecting a company, or by using the App, you agree to it.
§ 1Definitions
"App" means any software application WF makes available that connects to Intuit products such as QuickBooks Online, including its updates. "Affiliate" means any entity that, directly or indirectly, controls, is controlled by, or is under common control with WF.
§ 2License
WF licenses the App to an Affiliate under a separate written license, which permits other Affiliates that licensee controls to use the App for their own internal business purposes. Your use of the App is under and subject to that license, and this agreement states the conditions of that use. Nothing in this agreement grants you a license, ownership interest, or other right in the App independent of it. The App is not offered to the public, and no other use is permitted.
§ 3Authorization
Connections are made through Intuit's authorization flow by an administrator of the QuickBooks company being connected. You are responsible for the people you allow to use the App and for the companies and data you choose to connect.
§ 4Restrictions
You will not sublicense, resell, or otherwise make the App available to anyone outside the Affiliates; reverse engineer, copy, or create derivative works from the App, except to the extent the law permits despite this restriction; or use the App unlawfully, in breach of your agreement with Intuit, or in any way that interferes with the App or the Intuit platform.
§ 5Ownership
WF owns the App and all intellectual property rights in it. You keep ownership of your own business records. Nothing here transfers ownership of either.
§ 6Data
WF handles data retrieved through the App as described in the Privacy Policy at https://waylandfoundry.com/privacy, which forms part of this agreement.
§ 7Intuit
Intuit does not provide the App, is not a party to this agreement, and has no responsibility or liability for it. Your use of QuickBooks is governed by your own agreement with Intuit.
§ 8No warranty
To the fullest extent the law allows, the App is provided "as is" and "as available," without warranties of any kind, express or implied. WF does not warrant that the App will be uninterrupted or error-free, and the App does not replace your own review of your books and records.
§ 9Limitation of liability
To the fullest extent the law allows, WF is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. WF's total liability for all claims relating to the App is limited to the fees you paid WF for the App in the twelve months before the claim, or US$100 if you paid none.
§ 10Term and termination
These conditions apply from the time you connect a company and for as long as your use is permitted under the license described in Section 2. Either party may end your use at any time, and WF may suspend or withdraw the App at any time. When your use ends, disconnect the App from each connected company. Terms that by their nature should survive will survive.
§ 11Governing law
This agreement is governed by the laws of the State of Wyoming, without regard to its conflict of laws rules, and the state and federal courts sitting in Laramie County, Wyoming have exclusive jurisdiction over any dispute.
§ 12General
This agreement and the Privacy Policy are the entire agreement between us about the App. WF may update this agreement by posting a revised version here, and continued use after that means you accept it. If any provision is unenforceable, the rest stays in effect. WF may assign this agreement to an Affiliate or to a successor in interest.
